Data Processing Agreement

This Data Processing Agreement (“Agreement”) is entered into between GFunnel Business LLC, a Texas Private C-Corp company ("Company"), and the user of the Company's services ("User"), together referred to as the "Parties".


1. DEFINITIONS


1.1 "Personal Data" means any information relating to an identified or identifiable natural person ('Data Subject').

1.2 "Processing" means any operation or set of operations which is performed on Personal Data or on sets of Personal Data.

2. DATA PROCESSING

2.1 The User will own all right, title and interest in and to all Personal Data and will have sole responsibility for the legality, reliability, integrity, accuracy and quality of the Personal Data.

2.2 The Company will process Personal Data only for providing the services to the User and not for any other purpose.

3. COMPANY OBLIGATIONS

3.1 The Company shall process the Personal Data in compliance with applicable laws.

3.2 The Company will implement appropriate technical and organizational measures to protect Personal Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure or access.

4. USER OBLIGATIONS

4.1 The User agrees to comply with all applicable data protection laws in relation to the Personal Data provided to the Company.

4.2 The User shall ensure that the relevant third parties have been informed of, and have given their consent to, such use, processing, and transfer as required by all applicable data protection legislation.

5. AUDIT

5.1 The User is entitled to audit the Company’s compliance with this Agreement.

5.2 The Company will provide the User with all necessary information to demonstrate compliance with the obligations set out in this Agreement.

6. SECURITY BREACH

6.1 In the event of a Personal Data breach, the Company will notify the User without undue delay and will provide appropriate details regarding the Personal Data breach.

7. TERM AND TERMINATION

7.1 Either party may terminate this Agreement at any time by giving notice in writing to the other party.

7.2 Upon termination of this Agreement for any reason, the Company shall, return and/or delete all Personal Data and copies of the Personal Data.

8. LAW AND JURISDICTION

8.1 This Agreement shall be governed by the laws of the state of Texas.

By using the Company's services, you indicate your acceptance of this Agreement.
